1. Acceptance of Terms and Parties

These Terms of Service (hereinafter referred to as the “Terms” or “Agreement”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“User”, “You”), and PitGrowth LLC, a company located at 4 Peddlers Row Newark, DE 19702, United States (“PitGrowth”, “Company”, “We”, “Us”).

The subject of these Terms is to determine the rules and conditions for using the www.pitgrowth.com website, its subdomains, and any related mobile applications (iOS/Android) operated by PitGrowth (collectively, the “Platform” or “Site”). By accessing the Platform, creating an account, or using any information on the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Cookie Policy. If you are using the Platform on behalf of a company, you represent that you have the legal authority to bind that entity to these Terms.

2. Governing Law and Jurisdiction

The interpretation, execution, and any commercial or legal disputes arising out of or related to this Agreement shall be governed exclusively by the laws of the State of Delaware, United States, without regard to its conflict of law principles. The Parties irrevocably consent to the exclusive jurisdiction of the federal or state courts located in Delaware for any litigation or dispute arising from this Agreement.

3. Platform Memberships, Profiles, and Freemium Model

PitGrowth operates the “PitGrowth Corporate Network,” which is exclusively a Business-to-Business (B2B) networking and data analytics platform. To use the application, users must first create an individual account. After registration, users are automatically enrolled in the freemium model and may optionally create or claim a specific company or entity profile (e.g., Corporate Company, Technology Company, Investor, TechHub [Technopark, Incubator, Accelerator], or Service Provider).

• Freemium Limits & Free Trials: Basic platform access and core features are provided to users free of charge, subject to certain usage limits (e.g., viewing a limited number of profiles or search results). PitGrowth may also offer temporary “free-trial” periods for premium features. PitGrowth reserves the right to determine, modify, or update these free-tier limits and trial conditions at its sole discretion at any time.
• Paid Subscriptions (Premium Features): To bypass free-tier limits and access advanced functionalities (including but not limited to detailed listing, unlimited filtering, instant updates, and meeting scheduling), users may upgrade to a paid subscription plan by paying the relevant fees determined by PitGrowth.

4. User Content, Public Data, and Platform Features

4.1. License to PitGrowth

The intellectual property rights of the content you voluntarily add to the platform belong to you. However, by submitting this information, you grant PitGrowth LLC a worldwide, irrevocable, royalty-free license to use, process, classify, and display this data to other verified members for B2B matchmaking purposes.

4.2. In-Platform Communications & Meetings

Users share information in the chat and meeting sections under their own responsibility. All communications utilizing the in-platform communication infrastructures are the sole responsibility of the Users. PitGrowth is not liable for any business results of unattended meetings or disputes arising from chat interactions.

4.3. Data Entry

Users manually entering data about companies on the Platform do so at their own risk. PitGrowth is not responsible for the accuracy of user-generated data entries.

4.4. Company Ecosystem, Public Data, and Profile Claiming

PitGrowth aims to maximize visibility, networking, and business opportunities for companies within its ecosystem. To build this valuable B2B network, PitGrowth features company profiles that are either manually created by users or seamlessly generated by PitGrowth using information sourced from publicly available domains (such as official corporate websites).

• Claiming a Profile: If a profile for your company is featured on the Platform, it is there to generate potential B2B leads and visibility for your business. Authorized representatives can “claim” their company profile to manage their brand presence, update information, and directly engage with opportunities.
• Data Accuracy: While we strive to present accurate public data to benefit the business community, PitGrowth does not guarantee the absolute completeness or accuracy of the aggregated public information.
• Opting Out / Removal: We respect every company's preference. If a company does not wish to benefit from the visibility provided by the PitGrowth network, an authorized representative can easily request the deactivation or removal of their profile by contacting us, and PitGrowth will promptly process the request.

5. Intellectual Property Rights

All intellectual and industrial property rights, including the software, visuals, designs, content, texts, object codes, logos, graphics, databases, and videos on the Platform belong exclusively to PitGrowth LLC. It is strictly forbidden to copy, distribute, process, reverse engineer, or use the information, software, or design of the Platform beyond its intended functionalities.

6. Acceptable Use, Security, and Anti-Scraping

Users must comply with all applicable laws and principles of honesty. The following actions are strictly prohibited:

• Using any robot, spider, crawler, scraper, or other automated means to extract, harvest, or mine data from the Platform.
• Imposing a disproportionate burden on the Platform, attempting unauthorized access to PitGrowth servers, or engaging in attacks.
• Using software that disrupts the operation of hardware, servers, or the Platform.
• Using the Platform to harass, abuse, stalk, threaten, or defame other real or legal persons.

PitGrowth has the right to track all non-personal traffic data and reserves the right to immediately terminate accounts violating these rules without prior notice.

7. Subscriptions, Payments, and No Refund Policy

• Automatic Renewal: Unless otherwise stated, self-service paid subscription plans will automatically renew at the end of the chosen billing cycle.
• Payment Infrastructure & Enterprise Invoicing: For standard subscription tiers, credit card payments and recurring billing are securely processed through industry-standard third-party payment gateways. For Enterprise tier memberships, billing and payments may be handled via customized manual invoicing subject to a separate enterprise agreement. Users are obliged to take necessary actions for using payment methods determined by PitGrowth; failure to do so grants PitGrowth the right to terminate services.
• Strict No Refund Policy: Because PitGrowth provides a B2B service, WE DO NOT PROVIDE REFUNDS OR CREDITS FOR ANY PARTIAL-MONTH MEMBERSHIP PERIODS, UNUSED SERVICES, OR FORGOTTEN CANCELLATIONS. All payments are final and non-refundable.

8. Disclaimers and Limitation of Liability

8.1. Site Availability

PitGrowth reserves the right to temporarily block access to implement improvements, permanently or temporarily close the Platform, or halt specific activities at any time without prior notice. PitGrowth does not guarantee uninterrupted uptime or that the Platform will be free of unauthorized third-party accesses.

8.2. Artificial Intelligence (AI) Disclaimer

Semantic search results and matches on the platform may be generated using third-party Artificial Intelligence service providers. PitGrowth does not guarantee that AI-generated results will be 100% accurate or suitable for your commercial expectations.

8.3. Financial Cap

To the maximum extent permitted by applicable Delaware law, PitGrowth LLC shall not be liable for any direct, indirect, incidental, or consequential damages, including loss of profits, data, or business reputation. In no event shall PitGrowth's total liability to you exceed the total amount paid by you to PitGrowth for subscription services during the twelve (12) months immediately preceding the event giving rise to the liability.

9. Indemnification

All legal, administrative, and criminal liability related to the use of the Platform belongs to the User. In cases where the User violates these Terms or applicable laws, causing damage to third parties or resulting in legal claims against PitGrowth, the User agrees to indemnify, defend, and hold PitGrowth harmless. Any damages suffered by PitGrowth will be fully recourse to the User.

10. Communications and Marketing

By creating an account, you consent to receive electronic communications from us, including essential system notifications (e.g., account updates, meeting alerts) which are necessary for the service. Additionally, you agree to receive promotional emails and newsletters. You may opt-out of marketing communications at any time via the “unsubscribe” link, but you cannot opt-out of essential transactional emails.

11. Miscellaneous

• Modifications: PitGrowth reserves the right to unilaterally change these Terms at any time. Changes will come into effect on the date they are published on the Platform. By continuing to use the Platform, the User is deemed to have accepted the current conditions.
• Force Majeure: PitGrowth shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, severe weather events, war, terrorism, global internet outages, severe cyber-attacks, or failures of third-party infrastructure providers (e.g., cloud hosting or ISP failures).
• Entire Agreement & Severability: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between the User and PitGrowth regarding the use of the Platform. If any provision of these Terms is found to be invalid or unenforceable by a competent court, the remaining provisions shall remain in full force and effect.

12. Notices and Contact Information

All official notices between parties must be sent via agreed e-mail addresses or in writing. Parties are obliged to notify each other of address changes within seven (7) days.
